Purpose of Role:

The Senior Legal Counsel, US Solutions will advise the business directly on legal and regulatory issues that impact the US Marex Solutions business. The role will cover structured notes and OTC derivatives. The candidate will maintain, and update Marex US Note programs and related issuance level documentation Also, be responsible for Marex Solutions OTC business lines in the US. Additionally, they will assist the Head of Legal and Head of Solutions Legal with manager of legal risk arising from the Marex Solutions US business.

The Legal Department supports functional areas across Marex with timely, focused, practical legal services.

Responsibilities:

    • Responsible for all legal aspects of the US Marex Solutions business, including providing advice directly to the desk on the US legal and regulatory environment for structured products and OTC derivatives.
    • Draft, review and advise on program and issuance documentation for structured products and OTC derivatives documentation.
    • Work with the business to structure new product types and advise on legal issues arising therefrom.
    • Negotiate legal agreements (including distribution agreements and introducing broker and agent agreements).
    • Liaise with external and internal stakeholders, both in the US and overseas (including external counsel, the internal trading desk, distributors, agents and stock exchanges).
    • Participate in (and coordinate as necessary) various structured products and derivatives projects, including program updates and regulatory and policy initiatives.
    • Review contractual rights in the context of day-today operations and in contentious or stress situations.
    • Co-ordinate with Legal colleagues in other locations to ensure consistency and transparency in multi-jurisdictional or cross-border projects.
    • Assist Compliance team with the implementation and execution of product governance policies and procedures and review of regulatory developments affecting the Marex Solutions business.
    • Ensuring compliance with the company’s regulatory requirements under the SEC, FINRA, NFA, CFTC and other applicable exchanges.
    • Adhere to the operational risk framework for your role ensuring that all regulatory or company determined parameters are complied with.

    Skills and Experience

    • JD/LLM from an accredited US law school and admission to a state bar.
    • At least three to seven (3-7) years’ experience in a leading law firm/large financial institution practicing primarily in the financial services legal environment covering US and/or Canada.
    • A strong and broad understanding of financial markets and products.
    • Structured products experience is essential; experience with or understanding of derivatives is essential.
    • Excellent organisation skills.
    • Excellent verbal and written communication skills.
    • Strong attention to detail
    • Experience working in a regulated environment and knowledge of the risk and compliance requirements associated with this.

    Salary Range: $175,000 to $250,000 per year plus discretionary bonus.
